Official Rules

Promotion Period: July 20, 2026 – July 27, 2026

1. Sponsor and Administrator

This giveaway (the “Promotion”) is owned, operated, and administered by Biohacked, Inc., a Delaware corporation d/b/a “TrueDark” (the “Sponsor”). The Promotion is conducted in connection with the following prize partners: Sunlighten, LLC, a Missouri limited liability company, Upgrade Labs Products, Inc., a Delaware corporation, and Apollo Neuroscience, Inc., a Delaware corporation (together, the “Prize Partners”). The Sponsor is solely responsible for administering the Promotion, selecting the winner, and fulfilling these Official Rules.

2. Agreement to These Official Rules

By entering, you fully and unconditionally agree to be bound by these Official Rules and by the decisions of the Sponsor, which are final and binding in all matters relating to the Promotion. You accept these Official Rules at the point you submit your email address and select your communication preference (TrueDark, Sunlighten, or both) within the entry message (DM) flow. Winning a prize is contingent upon meeting all requirements set out below.

3. Eligibility

The Promotion is open only to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older (or the age of majority in their jurisdiction, whichever is greater) at the time of entry.

Employees, officers, directors, and agents of the Sponsor, the Prize Partners, and their respective parent companies, affiliates, subsidiaries, advertising and promotion agencies, and the immediate family members (spouse, parent, child, sibling, and their respective spouses) and household members of each are not eligible to enter or win. The Promotion is void where prohibited or restricted by law and is subject to all applicable federal, state, and local laws and regulations.

4. Promotion Period

The Promotion begins on July 20, 2026 at 12:00:00 a.m. Pacific Time and ends on July 27, 2026 at 11:59:59 p.m. Pacific Time (the “Promotion Period”). Entries submitted before or after the Promotion Period will not be eligible. The Sponsor’s computer or third-party platform clock will be the official timekeeper for the Promotion.

5. How to Enter

It is not possible to enter the Promotion by making a purchase or payment of any kind. No purchase is necessary to enter or win. To enter during the Promotion Period:

1)     Like the Promotion post on Instagram;

2)     Follow the these following accounts on Instagram

3)     Comment the word “RHYTHM” on the Promotion post, which triggers an automated direct message (DM);

4)     Accept these Official Rules by responding to the DM to provide your valid email address.

Your entry is complete and eligible only when a valid email address is received and you accept these Official Rules. Entries that are incomplete, illegible, or that do not include a valid email address will be disqualified.

6. Entry Limit

Limit one (1) entry per person and per email address for the entire Promotion. Duplicate entries and duplicate email addresses will be automatically de-duplicated, and only one entry per person will be retained. Use of any automated system, bot, script, or other means to enter, or entry by any means that subverts the entry process, is prohibited and will result in disqualification. The Sponsor reserves the right to disqualify any entrant it reasonably believes has violated these Official Rules.

7. Communications and Marketing Preferences

As part of the entry flow you will be asked to select which brand(s) you would like to receive marketing communications from (TrueDark, Sunlighten, or both). By making a selection, you consent to receive email and/or Instagram messages from the brand(s) you choose. Your selection determines which brand(s) may contact you and which brand(s) may retain your contact information following the Promotion. You may unsubscribe or opt out of marketing communications at any time using the unsubscribe link in any email or by following the opt-out instructions provided in the messages. Message and data rates may apply. Standard messaging is delivered through Instagram and a third-party messaging provider; see Section 12 for data handling.

8. Prize

One (1) winner will receive a single combined prize bundle  consisting of the following items:

•     From Sunlighten: one (1) RED Light Therapy Mini Panel and Infrared Performance Sheets (approximate retail value: $1,149);

•     From TrueDark: one (1) Circadian Bundle, including Daylights, Sunsets, and Twilights (approximate retail value: $450.00); and

•     From Suppgrade Labs: one (1) annual supply of Quiet Mode (approximate retail value: $650.00); and

•     From Apollo Neuroscience: one (1) Apollo Wearable device with a one (1) year SmartVibes® AI Membership (approximate retail value: $449.00), as well as one (1) tee-shirt, one (1) sweatshirt, and one (1) signed Dave Asprey Book (approximate retail value: $150.00)

Total approximate retail value (ARV) of the prize bundle: $2,848.00.  There is one (1) prize bundle and one (1) winner. The ARV represents the Sponsor’s good-faith estimate; the actual value may vary, and any difference between the stated and actual value will not be awarded.

9. Odds of Winning

The odds of winning depend on the total number of eligible entries received during the Promotion Period.

10. Winner Selection and Notification

On or about July 28, 2026, the Sponsor will select one (1) potential winner in a random drawing from among all eligible entries received during the Promotion Period. The drawing will be witnessed by representatives of both the Sponsor and Sunlighten. The random drawing may be done through an online site, such as https://www.random.org. Odds of winning the Prize depend on the number of entries received. The potential winner will be notified via Instagram direct message and or email and must respond within forty-eight (48) hours of the notification being sent. If the potential winner does not respond within forty-eight (48) hours, cannot be contacted, declines the prize, is found ineligible, or fails to comply with these Official Rules, the prize will be forfeited and an alternate winner may be selected at random, time permitting. The Sponsor may require the potential winner to provide additional information (including a valid U.S. shipping address) and, at the Sponsor’s discretion, to complete and return an affidavit of eligibility, a liability/publicity release, and an IRS Form W-9 before the prize is awarded.

11. Prize Conditions

•     The prize is non-transferable, and no cash redemption, substitution, or equivalent is permitted, except that the Sponsor or applicable Prize Partner reserves the right to substitute a prize (or component) of equal or greater value if the advertised prize becomes unavailable.

•     Prizes will be shipped only to addresses within the fifty (50) United States and the District of Columbia. The Sunlighten components will be shipped by Sunlighten, the Quiet Mode supply by Suppgrade Labs, the Apollo Wearable device and smartvibes subscription by Apollo Neuroscience, and the TrueDark components by TrueDark, each directly to the winner.

•     All federal, state, and local taxes and any other costs and expenses associated with the acceptance or use of the prize not specifically stated herein are the sole responsibility of the winner. Because the ARV exceeds $600, the winner may be issued an IRS Form 1099 reflecting the actual value of the prize received.

•     The winner accepts the prize “as is” and acknowledges that the Sponsor and Prize Partners have not made, and are not in any manner responsible or liable for, any warranty, representation, or guarantee, express or implied, in fact or in law, relating to the prize, except to the extent prohibited by law.

12. Privacy and Data Handling

Information you submit in connection with the Promotion will be used by the Sponsor and the applicable Prize Partner(s) to administer the Promotion and, where you have opted in, to send marketing communications, in accordance with their respective privacy policies, available at: https://truedark.com/policies/privacy-policy, https://www.sunlighten.com/privacy-policy, https://shopsuppgradelabs.com/policies/privacy-policy, and https://apolloneuro.com/policies/privacy-policy. No complete entrant list is transferred between the participating companies, provided that Sponsor may disclose your information with its affiliates. Following the close of the Promotion, each brand will receive only the contact information of entrants who opted in to receive communications from that brand. By entering, you acknowledge and agree to the collection, use, and sharing of your information as described in these Official Rules and the applicable privacy policies.

13. Publicity Release

Except where prohibited by law, acceptance of the prize constitutes the winner’s consent for the Sponsor and Prize Partners to use the winner’s name, Instagram handle, city/state of residence, voice, statements, and likeness for advertising, promotional, and publicity purposes in any media, worldwide, without further notice, review, approval, or compensation.

14. General Conditions and Right to Cancel or Modify

The Sponsor reserves the right, in its sole discretion, to cancel, suspend, terminate, or modify the Promotion (or any portion of it) if fraud, technical failures, human error, or any other factor beyond the Sponsor’s reasonable control impairs the integrity or proper functioning of the Promotion, as determined by the Sponsor. In such event, the Sponsor may, at its discretion, select the winner from among all eligible, non-suspect entries received up to the time of the impairment. Any attempt to deliberately damage the Promotion or undermine its legitimate operation may be a violation of criminal and civil law, and the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law.

15. Release and Limitation of Liability

By entering, each entrant agrees to release, indemnify, and hold harmless the Sponsor, the Prize Partners, Meta Platforms, Inc., Facebook, Inc. and Instagram, Inc., Manychat, Inc., Klaviyo, Inc., and their respective parent companies, affiliates, subsidiaries, advertising and promotion agencies, and the officers, directors, employees, and agents of each (the “Released Parties”) from and against any and all claims, liability, injury, loss, or damage of any kind arising out of or in connection with participation in the Promotion or the acceptance, receipt, possession, use, or misuse of any prize. The Released Parties are not responsible for late, incomplete, or incorrect entries; a failure to receive communications regarding the Promotion due to an entrant’s spam, junk e-mail, or other security settings or for an entrant’s provision of incorrect or otherwise non-functioning contact information; technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or used in this Promotion; by any human error which may occur in the processing of the entries in this Promotion; or any typographical, technological, or other error in the submission of entries, the publishing of the offer, administration of the Promotion, or announcement of the prize bundle.

By entering this Promotion, you waive section 1542 of the California Civil Code and any similar law of any state, territory, or other jurisdiction. Section 1542 states:

A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.

16. Disputes and Governing Law

YOU AGREE THAT ALL MATTERS ARISING OUT OF OR RELATING TO THIS promotion AND THESE OFFICIAL RULES ARE GOVERNED BY, AND CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF TEXAS, UNITED STATES, WITHOUT REFERENCE TO THE CHOICE OF LAW PRINCIPLES THEREOF. YOU FURTHER AGREE THAT ANY LEGAL SUIT, ACTION, PROCEEDING, DISPUTE, CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THIS promotion AND THESE OFFICIAL RULES, SHALL BE BROUGHT EXCLUSIVELY IN THE STATE COURTS OF TEXAS LOCATED IN TRAVIS COUNTY, TEXAS OR THE UNITED STATES DISTRICT COURT FOR THE WESTERN DISTRICT OF TEXAS.

As a condition of participating in this Promotion, except where prohibited by law, you agree that any dispute, claim, or controversy arising out of or relating to the Promotion, the award of the prize bundle, or the breach, termination, enforcement, interpretation, or validity of the Official Rules, shall be submitted to and determined by JAMS exclusively on an individual, non-class basis pursuant to its Comprehensive Arbitration Rules and Procedures and in accordance with the Expedited Procedures in those Rules. For the avoidance of doubt, you agree that any and all disputes, claims, and causes of action arising out of or related to this Promotion or any prize awarded shall be resolved individually and not in the form of any class action or other form of representative action. You agree that, as a condition of participating in this Promotion, you and all other entrants waive any right to bring any action arising from or related to the Promotion or the award of the prize bundle as a class or other representative action.

The arbitration will take place in Texas within Travis County, Texas shall be held before a single arbitrator, who shall be an attorney at law and an experienced commercial and contract law arbitrator. The Sponsor shall bear the cost of the arbitration, including the compensation of the Arbitrator and all administrative expenses. The parties may be represented by their own attorneys in the arbitration proceeding and, except as may otherwise be required by law, shall be responsible for their own attorneys’ fees and costs incurred in presenting their case to the Arbitrator. The Arbitrator shall have the power to award all legal relief available in a court of law, including any and all damages that may be available for any of the claims asserted, provided, however, that the arbitrator may not award any incidental, indirect, or consequential damages, including damages for lost profits, or any other relief waived under this Agreement. In addition, each of the parties shall retain all defenses that they would have in a judicial proceeding, including defenses based on the expiration of the statute of limitations and that the damages being sought are not authorized or are excessive. The Arbitrator shall render a written award within thirty (30) days after the matter is submitted for determination, and the award of the arbitrator shall be final and binding on the parties. Judgment on the award may be entered in any court having jurisdiction. This provision, however, shall not preclude the parties hereto from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction, including preliminary injunctive relief.

YOU AGREE AND ACKNOWLEDGE THAT THE PROMOTION EVIDENCES A TRANSACTION INVOLVING INTERSTATE COMMERCE AND THAT THIS AGREEMENT IS ENTERED INTO UNDER THE FEDERAL ARBITRATION ACT (“FAA”). ACCORDINGLY, THIS AGREEMENT SHALL BE INTERPRETED AND CONSTRUED IN ACCORDANCE WITH THE LAW AND PROCEDURES DEVELOPED UNDER THE FAA. THE PARTIES SHALL MAINTAIN THE CONFIDENTIAL NATURE OF THE ARBITRATION PROCEEDING AND THE AWARD. YOU AGREE THAT BY PARTICIPATING IN THE PROMOTION, YOU ALSO ENTER INTO THIS AGREEMENT TO ARBITRATE FREELY AND VOLUNTARILY AND WITHOUT ANY FORM OF COERCION, DURESS OR UNDUE INFLUENCE.

17. Instagram Release

This Promotion is sponsored by Danger Coffee, Inc., 1710 Keller Parkway, PMB 6090, Keller, TX 76248. This Promotion is in no way sponsored, endorsed, administered by, or associated with Instagram or Meta Platforms, Inc. Entrants understand that they are providing their information to the Sponsor and not to Instagram. By entering, each entrant completely releases Instagram and Meta Platforms, Inc. from any and all liability in connection with the Promotion. Any questions, comments, or complaints regarding the Promotion should be directed to the Sponsor, not to Instagram.

18. VOID WHERE PROHIBITED:

The Promotion is void where prohibited. If any provision(s) of these Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect. All federal, state and local laws apply to the Promotion. Decisions regarding all matters relating to the Promotion that are not addressed in these Official Rules shall be made by Sponsor in its sole and absolute discretion, and each entrant agrees that all such decisions shall be binding and final. Failure to comply with these Official Rules may result in disqualification from the Promotion at Sponsors’ sole and absolute discretion. Sponsor reserves the right to permanently disqualify from any promotion any person they believe has intentionally violated these Official Rules.

19. Winner Information

To request the name of the winner, send a written request, along with a self-addressed stamped envelope, to TrueDark at 1710 Keller Parkway, PMB 6090, Keller, TX 76248. Requests for the name of the winner must be received no later than October 31, 2026.
