Official Rules 

Promotion Period: October 28, 2026 – November 1, 2026 

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. OPEN ONLY TO LEGAL RESIDENTS OF THE 50 UNITED STATES AND D.C., 18 YEARS OF AGE OR OLDER. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. 

1. Sponsor and Administrator 

This giveaway (the “Promotion”) is owned, operated, and administered by Biohacked, Inc., a Delaware corporation d/b/a “TrueDark,” 1710 Keller Parkway, PMB 6090, Keller, TX 76248 (the “Sponsor”). The Promotion is conducted in connection with the following prize partners: Manette Creative Inc., a New York corporation d/b/a “Baloo Living” (“Baloo Living”); Organic Exchange, Inc. a Delaware corporation d/b/a “Essentia,” (“Essentia”); Danger Coffee, Inc., a Delaware corporation (“Danger Coffee”); and Upgrade Labs Products, Inc., a Delaware corporation d/b/a Suppgrade Labs (“Suppgrade Labs”) (together, the “Prize Partners”). The Sponsor is solely responsible for administering the Promotion, selecting the winner, and fulfilling these Official Rules. 

2. Agreement to These Official Rules 

By entering, you fully and unconditionally agree to be bound by these Official Rules and by the decisions of the Sponsor, which are final and binding in all matters relating to the Promotion. You accept these Official Rules when you complete any entry action described in Section 5. Winning a prize is contingent upon meeting all requirements set out below. 

3. Eligibility 

The Promotion is open only to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older (or the age of majority in their jurisdiction, whichever is greater) at the time of entry, and who have a valid Instagram account at the time of entry and through prize fulfillment. 

Employees, officers, directors, and agents of the Sponsor, the Prize Partners, and their respective parent companies, affiliates, subsidiaries, advertising and promotion agencies, any individual who operates a participating Instagram account listed in Section 5, and the immediate family members (spouse, parent, child, sibling, and their respective spouses) and household members of each are not eligible to enter or win. The Promotion is void where prohibited or restricted by law and is subject to all applicable federal, state, and local laws and regulations. 

4. Promotion Period 

The Promotion begins on October 28, 2026 at 12:00:00 a.m. Eastern Time and ends on November 1, 2026 at 11:59:59 p.m. Eastern Standard Time (the “Promotion Period”). Daylight saving time ends at 2:00 a.m. on November 1, 2026; the end of the Promotion Period is measured after that change. Entries submitted before or after the Promotion Period will not be eligible. The Sponsor’s computer or third-party platform clock will be the official timekeeper for the Promotion. 

5. How to Enter 

It is not possible to enter the Promotion by making a purchase or payment of any kind. No purchase is necessary to enter or win. No email address, phone number, or other contact information is required to enter. To enter during the Promotion Period: 

Your entry is complete when you have followed all of the accounts listed above and posted a qualifying comment on the Promotion post. Following the accounts and tagging a friend in a comment together earn one (1) entry (a “Base Entry”). 

Bonus Entry (optional): You may earn one (1) additional entry (a “Bonus Entry”) by sharing the Promotion post to your Instagram Story during the Promotion Period, tagging @truedark in the Story, and including the hashtag #giveaway. You must have a complete Base Entry to receive a Bonus Entry. Because Stories expire after 24 hours, the Sponsor will credit a Bonus Entry only if the Sponsor receives the @truedark Story mention during the Promotion Period. The Sponsor is not responsible for Story mentions it does not receive, including because of an entrant’s privacy, messaging, or mention settings. 

Entries are subject to verification. An entrant who has unfollowed any listed account, or whose qualifying comment has been deleted, at the time of winner selection may be disqualified. Entries that are incomplete or that do not comply with these Official Rules will be disqualified. 

6. Entry Limit 

Limit one (1) Base Entry and one (1) Bonus Entry per person, for a maximum of two (2) entries per person for the entire Promotion. Additional comments, additional tags, and additional Story shares will not earn additional entries. Entrants may use only one (1) Instagram account to enter; entries from multiple accounts by the same person will be disqualified. Use of any automated system, bot, script, or other means to enter, or entry by any means that subverts the entry process, is prohibited and will result in disqualification. The Sponsor reserves the right to disqualify any entrant it reasonably believes has violated these Official Rules. 

7. Prize 

One (1) winner will receive a single combined prize bundle consisting of the following items: 

Total approximate retail value (ARV) of the prize bundle: up to $1,381.70. There is one (1) prize bundle and one (1) winner. The ARV represents the Sponsor’s good-faith estimate based on current retail prices; the actual value may vary, and any difference between the stated and actual value will not be awarded. 

8. Odds of Winning 

The odds of winning depend on the total number of eligible entries received during the Promotion Period. Each Base Entry and each Bonus Entry counts as one (1) entry in the drawing. 

9. Winner Selection and Notification 

On or about November 2, 2026, the Sponsor will select one (1) potential winner in a random drawing from among all eligible entries received during the Promotion Period. The random drawing may be done through an online site, such as https://www.random.org. The potential winner will be notified by direct message from the official @truedark Instagram account only and must respond within forty-eight (48) hours of the notification being sent. The Sponsor will never ask an entrant to pay a fee, provide a password, or provide payment or banking information to claim a prize; any such message is not from the Sponsor. If the potential winner does not respond within forty-eight (48) hours, cannot be contacted, declines the prize, is found ineligible, or fails to comply with these Official Rules, the prize will be forfeited and an alternate winner may be selected at random, time permitting. Before the prize is awarded, the potential winner must provide a valid U.S. shipping address and contact information and must complete and return an IRS Form W-9 and, at the Sponsor’s discretion, an affidavit of eligibility and a liability/publicity release.

11. Privacy and Data Handling 

The Sponsor does not collect email addresses, phone numbers, or other contact information to enter the Promotion, and entrants are not added to any marketing list by entering. Your Instagram activity in connection with the Promotion (such as follows, comments, and Story mentions) is public or visible to the participating accounts according to your Instagram settings. Information the potential winner provides (such as name, shipping address, contact information, and tax information) will be used by the Sponsor to verify eligibility, fulfill the prize, and meet tax reporting obligations, and will be shared with a Prize Partner only as needed to ship that Prize Partner’s prize component. Information is handled in accordance with the Sponsor’s privacy policy, available at https://truedark.com/policies/privacy-policy. 

12. Publicity Release 

Except where prohibited by law, acceptance of the prize constitutes the winner’s consent for the Sponsor and Prize Partners to use the winner’s name, Instagram handle, city/state of residence, voice, statements, and likeness for advertising, promotional, and publicity purposes in any media, worldwide, without further notice, review, approval, or compensation. 

13. General Conditions and Right to Cancel or Modify 

The Sponsor reserves the right, in its sole discretion, to cancel, suspend, terminate, or modify the Promotion (or any portion of it) if fraud, technical failures, human error, or any other factor beyond the Sponsor’s reasonable control impairs the integrity or proper functioning of the Promotion, as determined by the Sponsor. In such event, the Sponsor may, at its discretion, select the winner from among all eligible, non-suspect entries received up to the time of the impairment. Any attempt to deliberately damage the Promotion or undermine its legitimate operation may be a violation of criminal and civil law, and the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. 

14. Release and Limitation of Liability 

By entering, each entrant agrees to release, indemnify, and hold harmless the Sponsor, the Prize Partners, Dave Asprey, Meta Platforms, Inc., Instagram, LLC, and their respective parent companies, affiliates, subsidiaries, advertising and promotion agencies, and the officers, directors, employees, and agents of each (the “Released Parties”) from and against any and all claims, liability, injury, loss, or damage of any kind arising out of or in connection with participation in the Promotion or the acceptance, receipt, possession, use, or misuse of any prize. The Released Parties are not responsible for late, incomplete, or incorrect entries; comments, follows, or Story mentions that are not received, are hidden, or are removed by Instagram or by an entrant’s account settings; a failure to receive communications regarding the Promotion due to an entrant’s messaging, privacy, or other account settings; technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or used in this Promotion; any human error which may occur in the processing of the entries in this Promotion; or any typographical, technological, or other error in the publishing of the offer, administration of the Promotion, or announcement of the prize bundle. 

By entering this Promotion, you waive section 1542 of the California Civil Code and any similar law of any state, territory, or other jurisdiction. Section 1542 states: 

A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY. 

15. Disputes and Governing Law 

YOU AGREE THAT ALL MATTERS ARISING OUT OF OR RELATING TO THIS PROMOTION AND THESE OFFICIAL RULES ARE GOVERNED BY, AND CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF TEXAS, UNITED STATES, WITHOUT REFERENCE TO THE CHOICE OF LAW PRINCIPLES THEREOF. YOU FURTHER AGREE THAT ANY LEGAL SUIT, ACTION, PROCEEDING, DISPUTE, CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THIS PROMOTION AND THESE OFFICIAL RULES, SHALL BE BROUGHT EXCLUSIVELY IN THE STATE COURTS OF TEXAS LOCATED IN TRAVIS COUNTY, TEXAS OR THE UNITED STATES DISTRICT COURT FOR THE WESTERN DISTRICT OF TEXAS. 

As a condition of participating in this Promotion, except where prohibited by law, you agree that any dispute, claim, or controversy arising out of or relating to the Promotion, the award of the prize bundle, or the breach, termination, enforcement, interpretation, or validity of the Official Rules, shall be submitted to and determined by JAMS exclusively on an individual, non-class basis pursuant to its Comprehensive Arbitration Rules and Procedures and in accordance with the Expedited Procedures in those Rules. For the avoidance of doubt, you agree that any and all disputes, claims, and causes of action arising out of or related to this Promotion or any prize awarded shall be resolved individually and not in the form of any class action or other form of representative action. You agree that, as a condition of participating in this Promotion, you and all other entrants waive any right to bring any action arising from or related to the Promotion or the award of the prize bundle as a class or other representative action. 

The arbitration will take place in Travis County, Texas, and shall be held before a single arbitrator, who shall be an attorney at law and an experienced commercial and contract law arbitrator. The Sponsor shall bear the cost of the arbitration, including the compensation of the Arbitrator and all administrative expenses. The parties may be represented by their own attorneys in the arbitration proceeding and, except as may otherwise be required by law, shall be responsible for their own attorneys’ fees and costs incurred in presenting their case to the Arbitrator. The Arbitrator shall have the power to award all legal relief available in a court of law, including any and all damages that may be available for any of the claims asserted, provided, however, that the arbitrator may not award any incidental, indirect, or consequential damages, including damages for lost profits, or any other relief waived under this Agreement. In addition, each of the parties shall retain all defenses that they would have in a judicial proceeding, including defenses based on the expiration of the statute of limitations and that the damages being sought are not authorized or are excessive. The Arbitrator shall render a written award within thirty (30) days after the matter is submitted for determination, and the award of the arbitrator shall be final and binding on the parties. Judgment on the award may be entered in any court having jurisdiction. This provision, however, shall not preclude the parties hereto from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction, including preliminary injunctive relief.
